Shareholders of Fidelity Bank Plc have endorsed the continuation of Amaka Onwughalu as board chairman and approved changes to the bank’s board during its 38th Annual General Meeting held virtually on October 9, 2026.
The meeting also approved the election of Jonathan Ososuakpor as a non-executive director, while Nelson Nweke’s retirement from the board was formally acknowledged. The resolutions were subsequently filed with the Nigerian Exchange Limited as part of the bank’s corporate governance disclosures.
In other decisions, shareholders authorised the board to determine the fees payable to the bank’s external auditors for the 2026 financial year. They also received details of management remuneration as contained in the institution’s audited financial statements for 2025.
The bank further constituted its Statutory Audit Committee to serve until the next annual general meeting. The five-member committee comprises shareholder representatives Frank Onwu, Innocent Mmuoh and Kabiru Tambari, alongside directors Abdullahi Mohammed and Obiaku Okam.
Shareholders also received the audited financial statements for the year ended December 31, 2025, together with reports from the board, external auditors, audit committee and independent board appraisal consultants.
